A TUPE transfer (Transfer of Undertakings (Protection of Employment)) helps to protect employees when the business they’re employed by, or part of it, moves to a new employer. It ensures employees’ jobs, terms, conditions, and continuous service transfer automatically to the company’s new owner. It encompasses business takeovers and “service provision changes” such as outsourcing, insourcing, and retendering. TUPE will typically apply for service provider changes when there’s an organised grouping of employees. This usually covers roles like catering, security, cleaning, waste collection, and machinery maintenance. Employers have several obligations and must adhere to specific legal steps. They must inform impacted employees or their representatives about the transfer—detailing when it will happen and why. Secondly, the old employer must provide the new employer with relevant information related to the transferring employees. Finally, harmonisation is not permitted; meaning new employers cannot change contracts to mirror their current staff’s. TUPE will not apply when a company’s shares are sold to new owners, and there may be exceptions to occupational pension schemes. Employees can refuse transfers, but this will be treated as a resignation.
